Capital Markets and Securities Regulations:

Our firm provides legal services to various public companies, traded in the Tel Aviv Stock Exchange. As such the firm handles public offerings and private placements of issuers in Israel. The firm provides ongoing legal services to our clients in all aspects of corporate law, commercial transactions securities regulations and corporate governance and handles our clients’ ongoing representation with the Israeli Securities Authority and the Tel Aviv Stock Exchange, including the submittal of all reporting as needed.
 

In this capacity our firm handled the public offerings and registration with the Tel Aviv Stock Exchange of various issuers including Ludan Engineering Company, Semicom Industries, Arazim Investments, Ultra Shape Medical, Go.D.M Investments, Ralco Agencies and others. In addition, our firm has been handling numerous debt offerings, shelf registrations, private placements of various types of securities and registration of securities with the stock exchange.

Corporate Law, M&A and High Tech:

The firm provides legal counsel to private and public companies across various industries and trades. In this capacity the firm is involved in the incorporation and registrations of new companies, formation of joint ventures and partnerships, provides legal opinions on various scenarios and representation and management of commercial negotiations. The firm drafts numerous types of agreements ranging from acquisition of corporations and merger transactions, marketing and distribution agreements, license, employment, partnership and other agreements.

The firm handled several M&A transactions, including the acquisition of Careline from Perrigo Israel, the sale of Careline' intellectual property to Sano, the merger of Elbit Medical with the public shell Enter Holdings, the purchase of Symcotech by Ludantech and the sale of the shares of Plasto-Sac to Cargal.

In addition the firm handles purchase and investment transactions of early and later stage high tech companies and provides ongoing legal counsel to them.

Commercial Litigation:

The firm represents clients on both sides, as plaintiffs and defendants, in all types of litigation, arbitration mediation and alternative conflict resolutions - commercial and civil in a variety of fields. Our litigation team has vast experience in representation in every court at any level both in managing and leading litigation cases and in pursuing various proceedings, including cease and desist injunctions, declaratory judgments, proceeding involving administrative agencies and other types of temporary injunctions.
As part of this activity, our litigation team handles class actions and liquidation, dissolution and bankruptcy proceeding of corporations and partnerships, and represents a variety of clients including debtors, creditors, directors, shareholders and corporations.

Real Estate Law:

The firm handles various real estate transactions, of both commercial and residential assets. The firm represents developers and owners in all aspects of purchase, development, entitlement, construction, management and leasing of commercial and residential real estate.
